Job Description

Financial services client seeks an experienced company secretary to fulfil the role of Corporate Governance Officer. Min of a relevant legal qualification (CIS an advantage) + 5 years company secretarial experience within a commercial legal environment sought.


Cape Town based.  

Please note that this role is only open to suitably qualified Employment Equity candidates. 


Key areas of responsibility:

  • Ensuring that good corporate governance is achieved
  • Updating the company on the King Reports, which will include revising policy and governance philosophy to fall in line with the updated provisions
  • Updating the various charters that exist within the business and subsidiaries
  • Advising the organisation on Corporate Governance on trends in the responsible investing space (ESG)
  • Researching and updating the applicable stakeholders, particularly management on legislative changes, specifically the Companies Act 71 of 2008 and the JSE Listing Requirements
  • Acts as Company Secretary to certain juristic persons and their committees
  • Provides comprehensive company administrative services to the holdings and subsidiaries as required
  • Ensuring company records are updated with the Registrar of Companies, maintaining company registers and acting as the point of contact with the external auditors who conduct annual company secretarial audits on those subsidiaries
  • Preparing meeting packs and recording minutes of various subsidiary boards and committees
  • Assisting Executives to understand their governance responsibilities and duties as and when required
  • Compile approval frameworks and delegations of authorities and overseeing the database thereof
  • Draft resolutions for various transactions including financial assistance and dividend declarations


Qualifications and experience required:

  • Minimum of a relevant completed legal qualification
  • Minimum of 5 years within a Company Secretarial role, with 3 years being in a commercial legal environment
  • Sound Knowledge of corporate governance and company secretarial practices and procedures, as well as knowledge and experience of corporate governance principles and practices
  • Registered as a Chartered Secretary (CIS) would be an advantage

  • A good team player with excellent communication skills both written and verbal
  • Ability to work accurately under pressure
  • High attention to detail with good planning and organisational skills
  • Proactive and have the ability to work independently
